Terms of Service
By creating an account, submitting a formation order, or otherwise using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1 Agreement to Terms
These Terms of Service constitute a legally binding agreement between you (whether an individual or an entity, referred to as "you" or "Client") and Digital Wealth Office ("we," "us," or "our") governing your use of our website and business formation, compliance, and related services (collectively, the "Services").
By accessing our website, creating an account, submitting an order, or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
2 Our Services
Digital Wealth Office provides business formation and administrative support services, which may include:
- LLC, corporation, and nonprofit formation filings
- Employer Identification Number (EIN) registration assistance
- Registered agent services
- Business banking referral and coordination
- Annual report preparation and filing
- Compliance monitoring and reminder services
3 Eligibility
To use our Services, you must be at least 18 years old and legally capable of entering into binding contracts. By using the Services, you represent and warrant that you meet these requirements and that all information you submit is accurate, current, and complete.
If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
4 Your Account
To access certain features, you must create an account. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Promptly notifying us of any unauthorized access or suspected breach
We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in abusive, fraudulent, or illegal activity.
5 Fees & Payment
All fees for our Services are displayed at the point of purchase or quoted to you in writing. By submitting an order, you authorize us (or our payment processor) to charge your designated payment method for the total amount displayed, including:
- Our service fees
- State filing fees charged by the applicable government agency
- Any optional add-on services you select
State filing fees are set by government agencies and are not controlled by us. If a fee changes after you place an order, we will notify you before proceeding. All payments must be made in the currency specified at checkout.
6 Refunds & Cancellations
Because our Services involve time-sensitive filings with government agencies, refund eligibility depends on the stage of your order:
- Before filing: If you cancel before we submit your documents to the state, you are eligible for a refund of our service fee (less any third-party costs we have already incurred).
- After filing: Once documents have been submitted to the state or other agency, service fees are non-refundable.
- State filing fees: Government filing fees are paid directly to state agencies and are generally non-refundable once submitted.
Refund requests must be submitted in writing to info@example.com and will be reviewed on a case-by-case basis.
7 Information You Provide
You are solely responsible for the accuracy, completeness, and legality of all information you submit through the Services, including names, addresses, business details, and identification documents. You agree that:
- You will not submit false, misleading, or fraudulent information
- You have the legal right to use any information you provide
- You will promptly update information if it changes
- You will cooperate with any verification or compliance requests
We are not responsible for delays, rejections, penalties, or other consequences arising from inaccurate or incomplete information you provide.
8 No Legal or Tax Advice
Nothing on our website or in our Services constitutes legal, tax, or financial advice. We are a document preparation and filing service — not a law firm or accounting firm. You should consult a licensed attorney or tax professional for advice specific to your situation.
9 Third-Party Services
Our Services may include integrations or referrals to third-party providers, including banks, payment processors, registered agents, and compliance tools. These third parties operate under their own terms and privacy policies.
We are not responsible for the acts, omissions, pricing, or availability of any third-party service. Any relationship you form with a third-party provider is solely between you and that provider.
10 Intellectual Property
All content on our website — including text, graphics, logos, icons, code, and the compilation thereof — is the property of Digital Wealth Office or its licensors and is protected by applicable intellectual property laws.
You may not copy, reproduce, distribute, modify, or create derivative works from any part of our website without our prior written consent. This restriction does not apply to documents you generate through our Services for your own business.
11 Limitation of Liability
To the maximum extent permitted by law, Digital Wealth Office and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or relating to your use of the Services.
Our total liability to you for any claim arising from these Terms or the Services shall not exceed the total amount you paid to us for the specific Service giving rise to the claim.
12 Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. Each party waives the right to a jury trial.
13 Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we do, we will revise the "Last updated" date at the top of this page.
Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.
